TVS Motor buys Italy’s Engines Engineering for €5 mn

TVS Motor Company, a leading manufacturer of two- and three-wheelers, has announced the acquisition of a 100% equity stake in Engines Engineering S.p.A (EE), an Italy-based company specializing in the engineering and development of two-wheeler and three-wheeler vehicles.

The acquisition will be carried out entirely through cash consideration. TVS will acquire 1 million equity shares at a price of €5.05 per share, amounting to a total investment of €5.05 million. The deal is expected to close by October 1, 2025, subject to the completion of agreed conditions precedent by ACT S.r.l., with no regulatory approvals required.

Engines Engineering, a joint-stock company incorporated under Italian law on July 1, 2008, is headquartered in Castenaso, Bologna, Italy. The company offers a wide array of services, including styling, design, engineering, and testing for high-performance and high-displacement two-wheeler and three-wheeler vehicles. EE has been a key player in automotive innovation with a strong presence in Italy and recorded revenues of €11.47 million in 2022, €5.53 million in 2023, and €11.28 million in 2024.

EE will serve as TVS Motor’s global Centre of Excellence (CoE) for design and engineering. It is envisioned as a concept-to-product innovation hub, seamlessly integrating Engines Engineering’s expertise with TVS Motor’s global R&D capabilities. By uniting diverse engineering teams and expanding access to global talent pools, the CoE is expected to significantly enhance the company’s speed to market, product differentiation, and technological leadership, according to a company statement.

TVS Motor Company stated that the acquisition aligns with its broader vision of becoming a leading global mobility player. It complements the company’s recent international expansion efforts and further strengthens its in-house capabilities in vehicle design and engineering. EE will act as a long-term partner for TVS and its subsidiaries or associate companies, playing a significant role in product development and innovation.

In addition to bolstering TVS Motor’s premium and future-ready product pipeline, the CoE will also add new capabilities to Norton Motorcycles, the company’s iconic British marque. This will support Norton’s ambition to craft modern luxury motorcycles with cutting-edge performance and design.

With this initiative, TVS Motor aims to reduce product development cycles, enhance design flexibility, and expand its premium portfolio, including high-displacement motorcycles, advanced scooters, and new electric mobility platforms. The expanded engineering depth is also expected to strengthen Norton’s pipeline of high-performance motorcycles, reinforcing its position as a modern luxury brand.
